Terms of Use Agreement
This Terms of Use Agreement ("Agreement") is entered into by and between The Whole Self LLC ("Company") and the user ("User") accessing the online course provided by The Whole Self LLC through the Thinkific platform ("Platform"). By accessing or using the Platform, User agrees to be bound by the terms and conditions set forth in this Agreement.
1. General
a. Acceptance of Terms: By accessing the Platform, User agrees to comply with all the terms and conditions outlined in this Agreement. If User does not agree to these terms, they should not use the Platform.
b. Eligibility: User must be at least 18 years old or have the legal capacity to enter into contracts.
2. License to Access Course
a. Limited License: Subject to the terms of this Agreement, Company grants User a limited, non-exclusive, non-transferable license to access and use the online course provided by The Whole Self LLC through the Platform for personal, non-commercial purposes.
b. Restrictions: User agrees not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on the Platform, except as it is expressly permitted under this Agreement.
3. Intellectual Property
a. Ownership: All content provided on the Platform, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of The Whole Self LLC or its content suppliers and protected by intellectual property laws.
b. Trademarks: The trademarks, logos, and service marks ("Marks") displayed on the Platform are the property of The Whole Self LLC. User is prohibited from using any Marks without the prior written permission of The Whole Self LLC.
4. User Obligations
a. Prohibited Activities: User agrees not to engage in any of the following activities: (i) use the Platform for any unlawful purpose; (ii) engage in any conduct that restricts or inhibits any other user from using the Platform; (iii) engage in conduct that could damage, disable, overburden, or impair the Platform.
b. Compliance with Laws: User agrees to comply with all applicable laws, regulations, and third-party agreements when using the Platform.
5. Privacy
a. Privacy Policy: User agrees to the terms of The Whole Self LLC's Privacy Policy, which can be found on the Platform.
6. Disclaimer of Warranties
a. No Warranty: The Platform and the content provided therein are provided "as is" and without warranties of any kind.
7. Limitation of Liability
a. Limitation of Liability: In no event shall The Whole Self LLC be liable for any direct, indirect, incidental, special or consequential damages arising out of or in any way connected with the use of the Platform.
8. Indemnification
a. Indemnification: User agrees to indemnify, defend, and hold harmless The Whole Self LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses.
9. Termination
a. Termination: This Agreement is effective until terminated by either party. The Whole Self LLC may terminate this Agreement at any time without notice.
10. Miscellaneous
a. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of laws principles.
b. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, agreements, representations, and warranties.
c. Modification: The Whole Self LLC reserves the right to modify this Agreement at any time by posting the revised terms on the Platform.
By accessing the Platform, User acknowledges that they have read, understood, and agree to be bound by this Agreement.
